Terms of Service

By using Clementine, you are agreeing to these Terms of Service. They govern your access to our app, SMS and phone communications, coaching, sleep assessments, content, synced health data, and any future integrations. If you do not agree with these Terms, please do not use the Service.

These Terms of Service ("Agreement") form a binding contract between you ("you," "User") and Clementine Coaching LLC. ("Clementine," "we," "us," "our"). This Agreement covers your use of the Clementine mobile and web applications, SMS, video calls, phone calls, and in-app communication with Clementine coaches, data dashboards, wearable integrations, and future pipelines, and Clementine-controlled websites, content, educational materials, assessments, and programs (collectively, the "Service"). By accessing any part of the Service, you agree to be bound by this Agreement. The Service is for individuals 18 years of age or older.

Clementine provides behavioral sleep coaching, habit guidance, and education. We are not medical providers. Some data may qualify as health information, and we store it using HIPAA-compliant infrastructure, but our services remain non-medical.

Clementine provides habit-based sleep coaching, behavioral guidance, assessments, and educational content. Clementine is not a healthcare provider, and coaches are not clinicians. Clementine does not diagnose, treat, or manage medical conditions and does not interpret medical tests or devices. Users agree to consult qualified medical professionals for medical questions or concerns. Clementine may process certain health data through HIPAA-compliant third-party infrastructure, but the Service itself remains wellness-oriented.

Clementine is for adults only.

You must be 18 years or older to use the Service. Clementine may refuse service at its discretion.

Create an account to access your program. Keep your information accurate.

Users must maintain accurate account information and safeguard their login credentials. Unauthorized access must be immediately reported to taylor@clementinecoach.com.

Clementine is a one-time purchase for a defined program length (e.g., a 3-month coaching period), and payments may be broken into installments. Your program does NOT auto-renew. If you want another program, you must make a new purchase.

When you purchase a Clementine program ("Program"), you agree to the price and duration shown at checkout. Program payments may be broken into installments. Programs do not renew automatically. If you want to continue after your program ends, you must purchase a new Program.

Coaches may communicate with you by SMS, video calls, phone calls, and in-app messaging. SMS is not secure, so sensitive information must be shared in the app. You understand and agree that Clementine may record phone calls and video calls between you and your coach for service delivery, quality assurance, training, and safety purposes. If you choose to send or share sensitive data over SMS, phone call, or video call, you accept that Clementine is not liable for the security of that information.

By purchasing a Program, you consent to receive communication from Clementine via SMS text messages, in-app messages, phone calls, and video calls. Standard carrier rates may apply.

We set boundaries to keep coaching relationships safe and supportive. Clementine is not a crisis service — please contact emergency services if you are in danger.

Users may not harass or harm coaches or other users, seek medical diagnosis, treatment, or crisis support, communicate with coaches outside approved channels (SMS, in-app, or phone as directed), share PHI via SMS and then claim liability against Clementine, or violate any applicable law. Clementine may suspend or terminate accounts for safety or policy violations.

Clementine offers sleep habit guidance — not medical care.

Clementine does not diagnose or treat medical or psychological conditions and is not responsible for interpreting medical sleep data or test results. Users agree to consult healthcare professionals for medical concerns.

You can connect devices you already own. We don't guarantee their performance.

Clementine does not sell, loan, or warrant hardware. Third-party device accuracy, availability, or syncing is outside Clementine's control.

We own our program content. You own your logs and messages.

Clementine owns all Clementine Content. Users are granted a personal, non-transferable license to use it. Users own their User Content. Users grant Clementine a license to use User Content solely as needed to operate the Service.

We protect your data using HIPAA-compliant infrastructure.

You can cancel anytime. We do not provide refunds. Access remains active through your paid period and then ends.

Users may cancel at any time. Clementine may suspend or terminate access for policy violations or safety concerns. No refunds will be issued except where required by law.

We aim to offer a reliable experience, but no service is perfect. This section explains our legal limits.

The Service is provided "AS IS" and "AS AVAILABLE." Clementine disclaims all warranties not expressly stated. To the maximum extent permitted by law, Clementine's total liability shall not exceed the amount paid by you for the Program at issue.

If a dispute arises, we'll try to resolve it informally. If not, all disputes will be resolved through binding individual arbitration. You cannot opt out. You also waive your right to participate in a class action.

All disputes arising out of or relating to this Agreement shall be resolved exclusively through binding individual arbitration administered by JAMS under the Federal Arbitration Act. Users waive the right to bring or join any class action, class arbitration, or representative action. There is no right to opt out of arbitration. Court actions are permitted only for intellectual property claims or to enforce an arbitration award.

We use Utah law.

This Agreement is governed exclusively by the laws of the State of Utah, without regard to conflict-of-law principles.

Clementine is available globally except in embargoed regions.

You may use the Service worldwide except where prohibited by U.S. export control laws or sanctions.

Clementine may update these Terms. Updates are effective upon posting. Continued use constitutes acceptance.
